X.1 The Meyahh Content

the purposes of these Terms of Use, the term “IP Rights” shall be understood to mean all existing and future intellectual or industrial property rights, whether registered or unregistered, current and future, including, without limitation, any patent rights, model and design rights, topography rights, trade mark rights, trade dress rights, copyrights, neighboring rights, portrait rights, database rights, trade names and know-how, as well as any application for the acquisition of such rights and all other rights aiming for protection or effect similar to one of the abovementioned rights.

You further undertake not to sell or modify the Meyahh Content or reproduce, display, publicly perform, distribute, or otherwise use the Meyahh Content in any way for any public or commercial purpose in connection with products or Services that are not those of the Site, in any other manner that is likely to cause confusion among consumers, that disparages or discredits Meyahh or its licensors, that dilutes the strength of Meyahh or its licensor’s property, or that otherwise infringes Meyahh or its licensor’s intellectual property rights. You further agree to in no other way misuse Meyahh Content that appears on this Site. Meyahh will discontinue this licensed use within a commercially reasonable period after such User Content is removed from the Site. Meyahh reserves the right to refuse to accept, post, display or transmit any User Content in its sole discretion.

You also represent and warrant that You have the right to grant, or that the holder of any rights has completely and effectively waived all such rights and validly and irrevocably granted to You the right to grant, the license stated above. It is Your responsibility to keep Your Meyahh profile information accurate and updated.

X.3 User-to-User Communications and Sharing (Endorsement, Reviews, Updates Supplier Pages, etc.)

Meyahh may offer various functionalities such as endorsements and reviews where You can post Your observations and comments on a Supplier Profile. You acknowledge and agree that all endorsements and reviews you give will be the sole and exclusive property of Meyahh and you hereby irrevocably assign to Meyahh and agree to irrevocably assign to Meyahh all of you right, title, and interest in and to all endorsements and reviews.

Meyahh may also enable sharing of information by allowing Users to post updates, including links to news articles and other information such as product recommendations, job opportunities, and other content to their profile and other parts of the Site, such as Supplier Profiles.

Meyahh may close or transfer Supplier Profiles, or remove content from them if the content violates these Terms of Use or others’ IP Rights.

The Site may contain hyperlinks to third party websites. Meyahh is not liable for the contents or accessibility of such websites. Use of or reliance on these websites is at the user’s own risk. You may not frame or link to the Site or the Meyahh Content without Meyahh ‘s prior written consent.

Meyahh may make software from third-party companies available to You. To download such software, You may be required to agree to the respective software licenses and/or warranties of such third-party software. Each software product is subject to the individual company’s Terms of Use and conditions, and the agreement will be between You and the respective company. This means that Meyahh does not guarantee that any software You download will be free of any contaminating or destructive code, such as viruses, worms or Trojan horses. Meyahh respects copyright law and expects the Users to do the same. Meyahh may terminate any account of Users who repeatedly infringe or are believed to be repeatedly infringing the rights of copyright holders.

You acknowledge and agree that Meyahh may use Your company’s name, Your logo, or any symbol linked to Your company for advertising, marketing, and communication purposes, including but not limited to mentioning You and presenting You publicly in your respective quality of Supplier or Project Owner, including but not limited to on or through the Site or any third-party site website or any social network such as Facebook, Instagram, Twitter, LinkedIn.

As stated above, listing services are free till the day we are in.

Meyahh ‘s Services have comprised different products, features, and offerings, so sometimes additional terms or product requirements may apply to those products, features or offerings. As the case may be, those additional terms become part of these Terms of Use.

The Terms of Use shall be effective for a 30-day term, at the end of which they will automatically be considered as entered into for an unlimited duration until such time when You or Meyahh terminate these Terms of Use as described below.

Meyahh or You may terminate this Agreement at any time with notice to the other. On termination, You lose the right to access or use the Services. You are solely responsible for properly canceling Your account. You can cancel Your account at any time by sending an email at info@meyahh.com explaining the reason for the cancellation, the name of Your Supplier and Your function in the Supplier.

If You cancel the Services before the end of Your current paid up month, Your cancellation will take effect immediately and You will not get a refund for the current paid up month nor be charged again for upcoming months.

Meyahh, in its sole discretion, has the right to suspend or terminate Your account and refuse any and all current or future use of the Services, or any other Meyahh service, for any reason at any time, with or without cause, with or without notice.

Meyahh reserves the right to refuse the access to the Services to anyone for any reason at any time.

You acknowledge and agree that Meyahh will not have any liability whatsoever to You for any suspension or termination.

Termination of your relationship with Meyahh does not affect your relationship with any Project Owner or Supplier you have met through the Site or Service. All legal, contractual and ethical duties, obligations and responsibilities survive termination of the Meyahh relationship.

All provisions of these Terms of Use which by nature should reasonably survive termination will survive termination, including, but not limited to, invoicing terms and costs, ownership provisions, warranty, disclaimers, indemnity, and limitations of liability.

IF YOU CHOOSE TO USE THE SERVICES, YOU DO SO AT YOUR SOLE RISK. YOU ACKNOWLEDGE AND AGREE THAT Meyahh DISCLAIM ALL WARRANTIES, REPRESENTATIONS, AND CONDITIONS OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES AND/OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT..

YOU AGREE THAT YOU ARE RELEASING US FROM ANY LIABILITY THAT WE MAY OTHERWISE HAVE TO YOU IN RELATION TO OR ARISING FROM THESE TERMS OF USE, OUR SERVICES, FOR REASONS INCLUDING, BUT NOT LIMITED TO, FAILURE OF THE SERVICES, OR NEGLIGENCE OR ANY OTHER TORT.

THE SERVICES ARE PROVIDED “AS IS”. Meyahh MAKES NO WARRANTY, REPRESENTATION OR CONDITION THAT (i) THE SERVICES WILL MEET YOUR REQUIREMENTS; (ii) YOUR USE OF THE SERVICES WILL BE UNINTERRUPTED, TIMELY SECURE OR ERROR-FREE; (iii) THE RESULTS THAT MAY BE OBTAINED FROM USE OF THE SERVICES WILL BE ACCURATE OR RELIABLE; OR (iv) ANY ERRORS IN THE SERVICES WILL BE CORRECTED.

NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM Meyahh OR THROUGH THE SERVICES, WILL CREATE ANY WARRANTY NOT EXPRESSLY MADE HEREIN.

YOU ARE SOLELY RESPONSIBLE FOR ALL OF YOUR COMMUNICATIONS AND INTERACTIONS WITH OTHER USERS OF THE SERVICES AND WITH OTHER PERSONS WITH WHOM YOU COMMUNICATE OR INTERACT AS A RESULT OF YOUR USE OF THE SERVICES.

YOU UNDERSTAND THAT Meyahh DOES NOT MAKE ANY ATTEMPT TO VERIFY THE STATEMENTS OF USERS OF THE SERVICES. Meyahh MAKES NO REPRESENTATIONS OR WARRANTIES AS TO THE CONDUCT OF USERS OF THE SERVICES OR THEIR COMPATIBILITY WITH ANY CURRENT OR FUTURE USERS OF THE SERVICES. YOU AGREE TO TAKE REASONABLE PRECAUTIONS IN ALL COMMUNICATIONS AND INTERACTIONS WITH OTHER USERS OF THE SERVICES AND WITH OTHER PERSONS WITH WHOM YOU COMMUNICATE OR INTERACT AS A RESULT OF YOUR USE OF THE SERVICES.

Through Meyahh‘s Services Users may be able to post content about any third party. Meyahh is not liable to third parties for any content that has been posted or viewed on Meyahh ‘s Site or Services. We are not required to or under any obligation to review, screen, edit, monitor, or remove any content posted on or through the Services, although We reserve the absolute right to remove, screen, or edit any content at any time and for any reason without any notice to you or any party affected;

We take no responsibility and assume no liability for any User Content that is posted, stored, uploaded, or transmitted via the Services, or for any loss or damages that may occur because of such user content including, but not limited to defamation, slander, libel, falsehoods, obscenity, or profanity;

We take no responsibility and assume no liability for any claim, action, petition, demand for arbitration or lawsuit alleging injury or damage resulting from any use of the Services, whether arising in tort or contract, law or equity;

UNDER NO CIRCUMSTANCES WILL Meyahh ‘s AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OF USE AND YOUR USE OF THE SERVICES EXCEED THE GREATER OF (i) THE AMOUNTS YOU HAVE PAID OR OWE VIA THE SITE OR SERVICE IN THE TWELVE (12) MONTH PERIOD PRIOR TO THE EVENT, and (ii) EUR 100,00.

You agree to release, defend, indemnify, and hold harmless Meyahh, its directors, employees, agents and representatives and that of its subsidiaries, affiliates or third-party Content providers from any and all liabilities, damages, losses, expenses, demands, claims, suits or fees, costs and expenses (including reasonable lawyer’s fees) in any way arising out of or pertaining to Your conduct, use of the Services and the Meyahh Content, breach of these Terms of Use or any other agreement entered into by and between You and Meyahh, of any covenants, warranties or representations contained therein or of any applicable law or regulation when accessing or using the Services and the Meyahh Content.

In the event that You use the Site or Service the Meyahh Content, or any portion thereof, in any manner not authorized by Meyahh or if You otherwise infringe any IP Rights or any other rights relating to other users, You agree to indemnify and hold Meyahh, its subsidiaries, affiliates, licensors and representatives, harmless against any losses, expenses, costs or damages, including reasonable attorneys’ fees, incurred by them as a result of unauthorized use of the Site or Service or the Meyahh Content and/or Your breach or alleged breach of these Terms of Use.

Any notices or other communications permitted or required hereunder, including but not limited to, those regarding modifications to these Terms of Use, will be in writing and given by Meyahh via e-mail. For notices made by e-mail, the date of receipt will be deemed the date on which such notice is transmitted.

In the event that the last e-mail address you provided to Meyahh is not valid, or for any reason is not capable of delivering to you any notices required or permitted by this Agreement, Meyahh ‘s dispatch of the e-mail containing such notice will nonetheless constitute effective notice.

(iii) Once registering at Meyahh, we have the right to announce that you are using Meyahh

The communications between You and Meyahh use electronic means, whether You visit the Site, or the Services or send Meyahh e-mails, or whether Meyahh posts notices through the Site or Services or communicates with you via e-mail.

For contractual purposes, you (i) consent to receive communications from Meyahh in an electronic form; and (ii) agree that all terms, conditions, agreements, notices, disclosures, and any other communication that Meyahh provide to You electronically satisfy any legal requirement that such communications would satisfy if they were in writing.
